NOTICE OF MOTION 2005 ANNUAL GENERAL MEETING
ALTERATION TO RULE 15 OF THE ARAWA CONSTITUTION

Rule 15.1(b) of the ARAWA constitution be amended by the addition after “Association” in line 3 of the words “incorporated under the Act”.

The alteration has been requested by the Department of Consumer and Employment Protection (the office that manages the Associations Incorporation Act) to bring the Rule into line with the Act.

Although there is no obligation on the Association to amend, the amendment is not inconsistent with ARAWA intention.

If amended the Rule will be as follows:

  1. DISSOLUTION OF ASSOCIATION:
    1. On application in writing to the Secretary or twenty or one half of the total number of the Subscribing and Life Members of the Association (whichever is the greater number) and of all the Clubs affiliated with the Association signifying their desire that the Association be dissolved the Secretary shall call a Special General Meeting to consider the question. Such meeting shall be held after the expiry of thirty and within sixty days of the receipt of such application. The dissolution of the Association may only be effected by Special Resolution of such special General Meeting.
    2. Any fund and property remaining after satisfaction of debts and liabilities shall in lieu of being distributed amongst members of the Council be given or transferred to one or more Associations incorporated under the Act having objects similar to those of the Association to be determined in the manner herein provided as or before the time of dissolution or in default thereof by any Judge or competent jurisdiction.
